Siyapatha Finance will appoint Yonmerrenne Simon Hewage Rushanka Sulakshana Silva as chairman with effect from 30 October, the company said in a filing to the Colombo Stock Exchange, reported by EconomyNext at 2.46 p.m. on Thursday.
Silva is currently the company’s deputy chairman and sits on the board as a non-independent non-executive director.
He replaces Palavinnege Sumith Cumaranatunga, an independent non-executive director, who retires from the board and the chairmanship on 29 October on completing nine years of service.
The governance mechanism is the story
Because the incoming chairman is not independent, the board has designated Widanalage Deshal Praveen de Mel, an independent non-executive director, as Senior Independent Director from 30 October.
In the company’s own words, quoted in the filing: “Since the incoming Chairman is a Non-Independent Non-Executive Director, the Board has designated Mr. Widanalage Deshal Praveen de Mel, an Independent Non-Executive Director of the Company, as the Senior Independent Director (Senior Director) with effect from 30 October.”
The sequence is a straightforward piece of listed-company governance, and it is worth stating plainly because the headline change obscures it. The chair passes from an independent director to a non-independent one, which reduces independence at the top of the board; the senior independent director role is the standard counterweight, giving shareholders and other directors a designated independent point of contact outside the chair.
The nine-year retirement is itself a governance trigger rather than a personal decision — long tenure is conventionally treated as eroding independence, which is why the threshold exists.
Who owns it
Siyapatha Finance is a licensed non-bank financial institution and a fully owned subsidiary of Sampath Bank. The company’s own branding carries the line “Finance Company of Sampath Bank Group”.
That ownership is the relevant context for a non-independent chair: the parent’s interests are represented on the board of a separately listed finance subsidiary. The filing does not state whether Silva holds any position within Sampath Bank or elsewhere in the group.
Siyapatha last featured in this archive when it listed Rs 3.75 billion in debentures. Its parent reported first-half profit in August.
Not reported
The filing gives no biography for Silva — no age, career history, other directorships, or how long he has served as deputy chairman — and does not say whether a new deputy chairman will be appointed. It does not say whether the board will remain the same size, whether Cumaranatunga’s board seat will be filled, or how many independent directors will remain after the change. No reason is given for the choice of a non-independent chairman over an independent candidate.
This was a routine market disclosure and at the time of writing no other verified newsroom had covered it. Daily FT’s business and financial-services listings, NewsFirst, Daily Mirror, Island, Colombo Gazette and Lanka Business Online returned nothing; Ada Derana remained CloudFront-blocked. One non-verified outlet carried a summary. Note that Ada Derana’s business desk publishes on a separate subdomain that does not count toward this site’s source rating.
