Asia Asset Finance plans to raise Rs. 2 billion through a debenture issue, the company has told the Colombo Stock Exchange.
The issue consists of 20 million five-year debentures at Rs. 100 each, described as listed, rated, unsecured, senior and redeemable, EconomyNext reported, citing a market filing. The company proposes to list the debentures on the CSE, and the issue is subject to regulatory approval.
The pricing is deliberately open
The company has not set a rate. “The coupon frequency and the interest rates are to be decided closer to the finalization of the Trust Deed based on the market rates prevailing at that point in time,” it said in the filing.
That is a choice about timing rather than an omission. Fixing a coupon at announcement exposes the issuer to any move in market rates before the deed is executed; leaving it to be set against prevailing rates transfers that risk away from the issuer and leaves investors unable to price the instrument until closer to the issue.
Reading the structure
The terms describe where a buyer would stand. Senior and unsecured together mean the debentures rank ahead of subordinated debt but are not backed by specific assets — holders rank with other unsecured creditors rather than having a claim on particular collateral. Rated means a credit rating agency will assign a rating, though the filing does not say which agency or at what level. Redeemable over a five-year term means repayment of principal at maturity.
Debentures are a standard funding route for Sri Lanka’s non-bank financial institutions, which use term debt to fund lending books that are longer-dated than deposits.
Not reported
The filing does not state the use of proceeds — whether the money is for lending growth, refinancing maturing debt or regulatory capital purposes. It does not name the rating agency or give the expected rating, set an opening or closing date for the issue, name the trustee or managers to the issue, or say whether the debentures will be offered to the public or placed privately.
Nor does the report give the company’s current borrowing profile, loan book, capital adequacy position or recent results, against which the size of the issue could be judged.
This account rests on a single verified source, which is reporting a company announcement to the exchange.
