Esna Holidays has acquired Mackinnons Travels from John Keells Holdings PLC, moving one of Sri Lanka’s oldest travel management companies out of the John Keells Group and into Esna Group ownership.
Mackinnons Travels was founded 55 years ago. It is the Travel Network Partner — the franchise partner — of American Express Global Business Travel (Amex GBT) in Sri Lanka, a relationship that dates to 1979, when Mackinnons became the local representative of American Express Travel.
The company handles both corporate and leisure travel.
Who signed
Daily FT names the principals at the exchange of the agreement: Esna Group Chairman Eshana De Silva and John Keells Holdings PLC Deputy Chairperson and Group Finance Director Gihan Cooray, with Esna Holidays Managing Director Johnson Francis and JKH President, Transportation Industry, Zafir Hashim also present.
That Hashim represents JKH’s transportation industry group places Mackinnons Travels within the conglomerate’s transport portfolio rather than its leisure business — a distinction that matters for reading what John Keells has actually divested.
What this is worth
Neither filing reports a price.
Neither says whether the transaction is complete or subject to conditions, whether it required regulatory clearance, or what happens to Mackinnons Travels’ staff, brand or management. Neither reports Mackinnons Travels’ revenue, headcount or market share, so the scale of the business changing hands is not on the public record.
Critically, neither filing says whether the Amex GBT franchise transfers with the company. That partnership is the asset most likely to determine the acquisition’s value, and a franchise agreement of that kind would normally require the franchisor’s consent to a change of control. Nothing published addresses it.
No reason is given for John Keells’ decision to sell, and neither filing carries a quote from either party.
On sourcing: two verified newsrooms, Daily FT and Colombo Gazette, carried the announcement on 29 October. Both read as versions of a single company statement rather than independent reporting — the descriptive passages on Mackinnons’ history and the Amex GBT relationship are near-identical. Daily FT adds the named principals, which Colombo Gazette does not carry. As a listed company, John Keells Holdings would ordinarily disclose a material disposal to the Colombo Stock Exchange; no such filing was located for this report.
